Big Pharma Makes Another Billion-Dollar Bet on the Brain
On July 16, 2026, Eli Lilly agreed to acquire AtaiBeckley, the company formed by the 2025 combination of atai Life Sciences and Beckley Psytech, for about $2.8 billion in cash upfront. Including a contingent value right of up to about $1.0 billion tied to development and regulatory milestones for the lead programs, the transaction reaches up to roughly $3.8 billion in total, per Lilly's July 16, 2026 announcement. The pipeline is led by BPL-003, an intranasal, short-duration therapy in development for treatment-resistant depression, and includes additional neuropsychiatry programs.
We note this as an industry-watch item, not as a comparable to our own program. The modality is different from ours, and depression is not among our indications. What the deal illustrates is the direction of capital: the largest developers are paying substantial upfronts, early in development, for assets that act on the central nervous system. Lilly, already active in Alzheimer's, is deepening its neuroscience franchise, and other large companies were reported to have looked at the same asset.
For context on where we sit, Modulus Biotech represents THAC and Professor Christian Brechot in the development and partnering of ALF5755, an AAV gene therapy delivering REG3A, an endogenous human regenerative and antioxidant protein. The program is led by acute and acute-on-chronic liver failure and extends, on the same mechanism, to a central-nervous-system indication in Alzheimer's, as well as type 2 diabetes with diabetic neuropathy and traumatic brain injury. We are a durable, mechanism-driven platform, and we are bringing it to potential partners directly.
Nothing here is investment advice, and this note does not represent an endorsement of the transaction described. Figures are as publicly reported.
